StockClub ("we", "us", "the Service") is operated by Halyard Systems. These terms govern your use of the Service. By creating an account or otherwise using the Service, you agree to these terms.
Eligibility
You must be at least 18 years old to use the Service. By using it, you represent that you meet this requirement.
What the Service is
StockClub is a tool for managing investment clubs. It lets a club admin connect a brokerage account through Plaid so members can view their club's read-only holdings. StockClub is not a broker, custodian, investment adviser, or financial planner. Nothing in the Service constitutes investment, tax, legal, or other professional advice.
Your account
- You are responsible for keeping your credentials secure.
- You are responsible for activity under your account, including activity by anyone you let access it.
- Notify us at contact@halyard.systems if you suspect your account has been compromised.
- We may require multi-factor authentication for sensitive actions.
Acceptable use
You agree not to:
- Use the Service to violate any law, regulation, or third-party right.
- Attempt to gain unauthorized access to any account, system, or data.
- Probe, scan, or test the Service's vulnerabilities except as permitted by our security disclosure process.
- Interfere with or disrupt the Service, its infrastructure, or other users.
- Reverse engineer, scrape, or use the Service to build a competing product.
- Upload or share material that is unlawful, infringing, or harmful to others.
- Misrepresent your identity, affiliation, or authority over a brokerage account or club.
Clubs and members
- A club admin connects the brokerage account and can disconnect it at any time. Disconnecting immediately revokes our access to further data.
- Club admins are responsible for inviting only people authorized to view the club's holdings.
- Members can view holdings the admin has chosen to share through the Service. We do not adjudicate disputes between club members.
Brokerage data
Our access to your brokerage account is read-only and limited to what Plaid exposes for the connected institution. We do not initiate trades, transfers, or any other actions on your brokerage account. Holdings shown in the Service may be delayed, incomplete, or out-of-date relative to your actual brokerage account; always verify with your broker before acting on what you see here.
Our intellectual property
The Service, including its software, design, and content we provide, is owned by Halyard Systems and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You retain ownership of any data you provide; you grant us the rights necessary to operate the Service on your behalf.
Termination
- You may stop using the Service at any time and may request account deletion as described in the Privacy Policy.
- We may suspend or terminate access if you violate these terms, if required by law, or to protect the Service or other users.
- Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.
Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of any data. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.
Investing involves risk, including loss of principal. You are solely responsible for your investment decisions and for verifying any data in the Service against your broker of record.
Limitation of liability
To the maximum extent permitted by law, Halyard Systems and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of or related to the Service will not exceed one hundred U.S. dollars ($100).
Indemnification
You agree to defend, indemnify, and hold harmless Halyard Systems from and against any claim, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these terms, or your violation of any law or third-party right.
Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
Changes
We may update these terms. The "last updated" date at the top reflects the current version. If a change materially affects your rights, we'll surface it the next time you sign in.
